These Terms of Service ("Terms") govern your use of the website at tryadra.com, our automated messaging assistant, and any marketing services provided by Adra ("we," "us," or "our"), operated by Jose Danon. By using our website, messaging us, or engaging us for services, you agree to these Terms.

1. Our Services

Adra is a performance marketing agency. We provide services that may include paid media management, performance creative, conversion rate optimization, landing page and website development, measurement and reporting, and marketing automation. The specific services, deliverables, timelines, and fees for any engagement are set out in a separate written agreement, proposal, or statement of work between you and Adra. Where those documents conflict with these Terms, those documents control.

2. Website and Informational Content

Content on this website is provided for general information only. It does not constitute professional, financial, or legal advice, and it is not a guarantee, offer, or commitment to provide services on any particular terms.

3. Automated Assistant

We operate an automated assistant that responds to messages on Facebook Messenger, Instagram, and Telegram. You should be aware that:

• Responses are generated by an AI system and may be incomplete or inaccurate. Nothing the assistant says forms a binding quote, price, commitment, or contract.
• The assistant does not quote pricing. Fees are discussed only in a direct conversation and confirmed in writing.
• A member of our team may read your conversation and may take over from the assistant at any time.
• Please do not send sensitive information — such as passwords, payment card numbers, government identification numbers, or health information — through these channels.
• Your use of Facebook Messenger, Instagram, and Telegram is also subject to those platforms' own terms, which we do not control.

Information you share with the assistant is handled as described in our Privacy Policy.

4. No Guarantee of Results

Marketing outcomes depend on many factors outside our control, including your offer, market conditions, budget, creative assets, competition, and the policies and algorithms of advertising platforms. We do not guarantee any specific result, ranking, level of traffic, conversion rate, revenue, or return on advertising spend. Any figures, benchmarks, case studies, or projections we share are illustrative and are not a promise of future performance.

5. Your Responsibilities

Where we provide services to you, you agree to:

• Provide accurate information and timely access to any accounts, assets, or approvals we need to do the work.
• Ensure that materials, claims, and products you ask us to promote are lawful, accurate, and comply with the policies of the relevant advertising platforms.
• Maintain your own accounts with advertising platforms and be responsible for the media spend billed to those accounts.
• Obtain any consents required for data you provide to us, including customer lists used for advertising audiences.

6. Third-Party Platforms

Our services depend on third-party platforms such as Meta, Google, TikTok, and Amazon. We are not responsible for their availability, policy changes, account suspensions, ad disapprovals, pricing, or data accuracy. Where a platform changes its rules or restricts an account, we will work with you on alternatives, but we are not liable for the resulting impact.

7. Fees and Payment

Fees, billing schedule, and payment terms are set out in your separate written agreement with us. Media spend is billed by the advertising platform to your own account unless expressly agreed otherwise in writing.

8. Intellectual Property

Our website, brand, and the materials we publish are our property or that of our licensors. Ownership of deliverables produced for you in the course of an engagement is set out in your written agreement with us. You retain ownership of the materials, trademarks, and data you provide to us, and you grant us permission to use them as needed to deliver the agreed services.

9. Confidentiality

Each party agrees to protect non-public information disclosed by the other in connection with an engagement and to use it only for the purpose of that engagement, except where disclosure is required by law.

10. Limitation of Liability

To the fullest extent permitted by law, Adra is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost business opportunity, arising out of or relating to these Terms or our services. Our total aggregate liability arising out of or relating to an engagement is limited to the fees you paid to Adra for that engagement in the three months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Termination

Either party may end an engagement in accordance with the notice provisions of the applicable written agreement. We may restrict or discontinue access to our website or automated assistant at any time, including where use is abusive, unlawful, or disruptive.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. The state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over any dispute arising out of these Terms.

13. Changes to These Terms

We may update these Terms from time to time. The "last updated" date at the top reflects the most recent revision. Continued use of our website or automated assistant after a change constitutes acceptance of the updated Terms.
